Midera Secures $1 Billion Credit Agreement Ahead of Planned Spin-Off from Middleby
The Middleby Corporation has taken another significant step toward completing the planned separation of its Food Processing business by announcing that Midera Food Processing, Inc. has entered into a new five-year credit agreement valued at $1 billion. The financing arrangement is designed to provide Midera with the financial flexibility and liquidity needed to operate as an independent public company while supporting its long-term growth strategy.
The agreement comes as Middleby continues preparations for the spin-off of Midera, which is expected to be completed on July 6, 2026, subject to the satisfaction or waiver of customary closing conditions. Once the separation is finalized, Midera will begin operating independently with a dedicated leadership team, its own capital structure, and a strong financial foundation intended to support expansion through acquisitions, innovation, and operational investments.
$1 Billion Revolving Credit Facility
Under the newly announced financing arrangement, Midera has signed a five-year credit agreement with Bank of America, N.A., acting as the administrative agent, along with a group of participating financial institutions and lenders.
The credit agreement consists of two revolving credit facilities:
- A $750 million U.S. dollar revolving credit facility
- A $250 million multi-currency revolving credit facility
Together, these facilities provide Midera with total borrowing capacity of $1 billion, offering access to working capital, funding for strategic acquisitions, investments in new technologies, and general corporate purposes.
Unlike traditional term loans, revolving credit facilities allow companies to borrow, repay, and borrow again throughout the life of the agreement, giving management greater flexibility to manage cash flow while responding quickly to new business opportunities.
The inclusion of a multi-currency facility is particularly important for Midera because of its global operations. It enables the company to finance activities in multiple international markets while reducing foreign exchange complexities and supporting customers across different regions.
Supporting an Acquisition-Led Growth Strategy
According to incoming Chief Executive Officer Mark Salman, the new financing package represents an important milestone as Midera prepares to begin operations as an independent public company.
Salman explained that the credit agreement provides sufficient financial capacity to execute the company’s acquisition-driven growth strategy while maintaining investments in innovation and operational excellence.
He noted that Midera enters independence with a diversified portfolio of respected food processing equipment brands, long-standing customer relationships, and the ability to deliver comprehensive production line solutions. These strengths position the company to pursue attractive acquisition opportunities in what remains a highly fragmented global food processing equipment industry.
Rather than focusing solely on organic growth, Midera intends to supplement expansion by acquiring complementary businesses that enhance its product portfolio, strengthen geographic reach, and provide additional technologies for customers.
Salman also emphasized that the willingness of major financial institutions to commit $1 billion through the revolving credit agreement demonstrates confidence in the company’s business model, competitive position, and long-term prospects.
Strong Position in the Food Processing Industry
Midera will begin its independent journey with an established presence across numerous segments of the global food processing market. The company serves food manufacturers with equipment, processing systems, automation technologies, and complete production line solutions designed to improve efficiency, product quality, and operational performance.
Its portfolio spans multiple food categories, enabling customers to source integrated solutions from a single provider rather than relying on numerous equipment manufacturers.
This diversified approach provides several strategic advantages, including:
- Exposure to multiple food processing end markets
- Long-term customer relationships across global regions
- Opportunities for recurring aftermarket services and equipment upgrades
- Cross-selling opportunities across different product categories
- Greater resilience against fluctuations in individual market segments
The company’s broad product offering also creates opportunities for future acquisitions that can be integrated into existing operations while expanding technical capabilities.
Financial Flexibility Following the Separation
One of the most important aspects of any corporate spin-off is ensuring that the newly independent company has sufficient access to capital.
By securing the new revolving credit facilities before separation, Midera establishes a strong financial platform that will allow management to pursue growth opportunities without immediately requiring additional financing.
The facility can be used for a wide range of corporate purposes, including:
- Funding strategic acquisitions
- Supporting working capital requirements
- Investing in research and development
- Expanding manufacturing capabilities
- Financing international operations
- Managing seasonal cash flow fluctuations
- General corporate expenses
This level of liquidity provides management with flexibility while allowing the company to respond quickly to changing market conditions.
Middleby Expresses Confidence in Midera’s Future
Middleby Chief Executive Officer Tim FitzGerald highlighted the importance of the financing agreement as the company approaches the completion of the spin-off.
According to FitzGerald, the new credit agreement provides Midera with the balance sheet strength necessary to execute its long-term business strategy as an independent company.
He added that both the size of the facility and the favorable terms secured from lenders reflect the financial strength of Midera’s business and the confidence financial institutions have in its future growth prospects.
Middleby believes that separating the Food Processing business will allow both companies to focus more effectively on their respective markets while pursuing tailored growth strategies.
Following the transaction, each organization is expected to benefit from greater operational focus, dedicated capital allocation decisions, and independent management teams.
Why the Credit Agreement Matters
Large revolving credit facilities are often viewed by investors as an important indicator of lender confidence. Financial institutions conduct extensive due diligence before committing significant capital, evaluating a company’s financial performance, competitive position, cash flow generation, management team, and long-term strategy.
The willingness of multiple lenders to participate in a $1 billion facility suggests confidence in Midera’s ability to generate sustainable earnings and maintain a healthy financial profile after becoming an independent company.
For customers, suppliers, and business partners, the financing also provides reassurance that Midera will have the financial resources necessary to continue investing in product development, customer support, manufacturing operations, and strategic expansion.
Spin-Off Remains on Schedule
Middleby confirmed that the planned separation remains on track for July 6, 2026.
However, as with most corporate spin-offs, completion remains subject to the satisfaction or waiver of customary closing conditions outlined in the Separation and Distribution Agreement.
The agreement forms part of Midera’s registration statement on Form 10, which was filed with the U.S. Securities and Exchange Commission (SEC). The registration statement was declared effective by the SEC on June 17, 2026, marking another important regulatory milestone in the separation process.
Once the spin-off is completed, Midera will operate as an independent publicly traded company focused exclusively on food processing technologies and solutions, while Middleby will continue concentrating on its remaining business segments.
