Four Corners Property Trust Completes Strategic Asset Exchange with Darden Restaurants
Four Corners Property Trust (NYSE: FCPT), a leading real estate investment trust specializing in the ownership, acquisition, and leasing of high-quality restaurant and retail properties, has announced the successful completion of a strategic single-property asset exchange with Darden Restaurants, one of the largest full-service restaurant companies in North America.
The transaction reflects the strong and longstanding relationship between FCPT and Darden while further enhancing the quality and positioning of FCPT’s real estate portfolio. Under the terms of the agreement, FCPT transferred ownership of a recently closed Bahama Breeze restaurant property located in Michigan to Darden. In return, Darden transferred ownership of an Olive Garden restaurant property situated in a highly desirable retail corridor in Nevada to FCPT.
As part of the exchange, FCPT simultaneously entered into a new lease agreement with Darden for the Nevada Olive Garden property. Importantly, the lease was structured with the same rental rate and substantially identical terms as the previous lease associated with the Michigan Bahama Breeze property. This arrangement ensures continuity of cash flow for FCPT while improving the overall quality and long-term attractiveness of its real estate holdings.
The newly acquired Olive Garden location is strategically positioned within a strong retail market in Nevada, benefiting from favorable demographics, established consumer traffic patterns, and a vibrant commercial environment. The property is operated directly by Darden and is subject to a triple-net lease structure, under which the tenant is responsible for property taxes, insurance, and maintenance expenses. Triple-net leases are widely regarded as attractive investment vehicles because they provide landlords with predictable rental income and limited operational responsibilities.
The exchange aligns with FCPT’s broader investment strategy of actively managing and optimizing its portfolio through disciplined acquisitions, dispositions, and asset recycling initiatives. By replacing a recently closed restaurant property with an actively operating Olive Garden location, FCPT strengthens the stability and performance potential of its portfolio while maintaining its relationship with a high-quality tenant.
According to the company, the transaction was completed as a cashless asset exchange. Both parties agreed that the fair market values of the exchanged properties, on an “as-is” basis, were reasonably equivalent. As a result, no additional cash consideration was required from either side. This structure allowed both FCPT and Darden to efficiently achieve their respective strategic objectives while minimizing transaction complexity.
For FCPT, the exchange represents another example of its proactive portfolio management approach. The company continues to focus on properties leased to strong operators in attractive markets, emphasizing assets that can generate reliable rental income and long-term value for shareholders. Olive Garden remains one of the most recognized and successful casual dining brands in the United States, making the Nevada property a valuable addition to FCPT’s portfolio.
Darden, meanwhile, gains ownership of the former Bahama Breeze property, providing the company with additional flexibility regarding the future use or redevelopment of the site. The transaction demonstrates how strategic asset exchanges can create mutually beneficial outcomes for both landlords and operators.
FCPT has built a diversified portfolio consisting primarily of restaurant and retail properties leased under long-term net lease agreements. The company’s focus on high-credit-quality tenants, strong real estate fundamentals, and disciplined capital allocation has helped establish it as a leading player within the net-lease REIT sector.
The latest transaction underscores FCPT’s commitment to enhancing portfolio quality through targeted asset management decisions. By exchanging a closed restaurant property for a well-located, operating Olive Garden asset under a new long-term lease, the company continues to position itself for sustainable growth and stable income generation.
As the restaurant and retail real estate landscape continues to evolve, FCPT remains focused on identifying opportunities that strengthen its portfolio, support tenant relationships, and create long-term value for investors. The successful completion of this asset exchange with Darden Restaurants highlights the company’s ability to execute strategic transactions that align with these objectives while maintaining a disciplined and shareholder-focused approach.
