StubHub Extends Senior Credit Facility Maturities to 2033, Strengthening Financial Flexibility
The global ticketing marketplace refinances its debt structure, reduces borrowing costs, and improves its foreign exchange risk profile following significant debt repayment since its September 2025 IPO.
StubHub Holdings, Inc , a leading global ticketing marketplace for live events, has announced an extension of the maturities of its senior credit facilities, marking another step in the company’s efforts to strengthen its balance sheet and enhance long-term financial flexibility. The transaction extends the maturity of its term loans by approximately three and a half years, lowers borrowing costs, and adjusts the company’s debt composition to improve its foreign exchange risk profile.
The credit agreement amendment extends the maturity of StubHub’s existing U.S. dollar-denominated and euro-denominated Term Loan B facilities from March 2030 to October 2033. The move provides the company with additional time to manage its debt obligations while maintaining its existing aggregate term loan amount. The transaction also follows a period of significant deleveraging, during which StubHub repaid $1.1 billion of debt over the preceding 12 months.
The latest financing initiative underscores the company’s continued focus on capital structure management as it builds on the progress made since its initial public offering in September 2025. By extending debt maturities and improving borrowing terms, StubHub aims to create a more flexible financial foundation while continuing to operate its global ticketing marketplace.
Extended Term Loan Maturities Provide Greater Financial Flexibility
Under the amended credit agreement, StubHub, through its wholly owned subsidiary StubHub Holdco Sub, LLC, extended the maturity dates of its two existing Term Loan B facilities by approximately three and a half years. The facilities previously had maturities scheduled for March 2030 and will now mature in October 2033.
Before the transaction, the company’s term loan structure included an $804 million U.S. dollar-denominated Term Loan B and a €452 million euro-denominated Term Loan B. As part of the amendment, StubHub increased the U.S. dollar facility by $171 million while reducing the euro-denominated facility by €152 million.
Following the adjustments, the amended credit agreement consists of a $975 million U.S. dollar Term Loan B and a €300 million euro Term Loan B. Despite the changes in the individual facility balances, the company stated that the total amount outstanding under the term loans remains unchanged.
The revised structure allows StubHub to extend the repayment timeline without increasing the overall amount of its term loan obligations. Moving the maturity dates to October 2033 also gives the company a longer period before the loans become due, providing additional time to manage liquidity, pursue financial priorities, and plan for future debt repayments.
Extending debt maturities can be an important component of corporate financial management, particularly for companies seeking to balance ongoing operational requirements with longer-term capital commitments. By moving its term loan maturities further into the future, StubHub reduces the near-term pressure associated with those scheduled repayments and gains additional flexibility in managing its financing arrangements.
The amendment also reflects the company’s decision to adjust the currency composition of its borrowing facilities while maintaining the overall term loan amount. This change represents a further element of its broader approach to managing financial obligations and improving the structure of its balance sheet.
Borrowing Costs Decline Following Credit Agreement Amendment
In addition to extending maturities, StubHub secured a 25-basis-point improvement in borrowing costs as part of the transaction. The amended U.S. dollar Term Loan B carries an interest rate of the Secured Overnight Financing Rate (SOFR) plus 450 basis points, while the amended euro-denominated Term Loan B carries an interest rate of the Euro Interbank Offered Rate (EURIBOR) plus 475 basis points.
SOFR and EURIBOR are benchmark interest rates used in lending markets for U.S. dollar and euro financing, respectively. The interest margins added to these benchmarks determine the applicable borrowing rates under the facilities.
The 25-basis-point improvement represents a reduction of 0.25 percentage points in the applicable borrowing margin compared with the previous terms. Although the actual interest expense will continue to depend on the relevant benchmark rates and the outstanding loan balances, lower margins can help reduce financing costs over time.
For a company managing substantial debt obligations, even a modest reduction in borrowing costs can contribute to improved financial efficiency. Lower interest margins can help preserve cash that may otherwise be allocated to debt servicing, giving management additional flexibility to support business operations, meet financial commitments, and pursue strategic priorities.
The extension of maturities and reduction in borrowing costs together provide StubHub with two distinct financing benefits. The longer repayment timeline offers additional time to manage debt obligations, while the improved pricing reduces the margin paid above the applicable benchmark rates.
The transaction therefore represents more than a simple extension of repayment dates. It also improves the contractual terms of the company’s financing arrangements, potentially supporting more efficient capital management over the extended loan period.
Adjustments Strengthen Foreign Exchange Risk Profile
StubHub also revised the balance between its U.S. dollar and euro-denominated term loans. The company increased its U.S. dollar Term Loan B from $804 million to $975 million and reduced its euro Term Loan B from €452 million to €300 million.
According to the company, the adjustment strengthens its foreign exchange risk profile. Currency exposure can be an important consideration for businesses operating across multiple markets, particularly when revenues, operating expenses, and financial obligations are denominated in different currencies.
Changes in exchange rates can affect the value of foreign-currency liabilities when measured in a company’s reporting currency. Adjusting the currency composition of debt may help a company better manage these exposures, depending on the relationship between its operating cash flows, assets, and outstanding obligations.
By increasing the U.S. dollar-denominated facility and reducing the euro-denominated facility, StubHub has modified its borrowing mix while keeping the aggregate term loan amount unchanged. This adjustment forms part of the overall amendment designed to improve the company’s financial structure.
The company did not announce an increase in its total term loan amount as a result of the transaction. Instead, the changes focus on maturity extension, pricing improvements, and currency composition, allowing StubHub to revise important aspects of its debt arrangements without increasing the aggregate term loan obligation.
Revolving Credit Facility Maturity Also Extended
Alongside the changes to its Term Loan B facilities, StubHub extended the maturity of a portion of its existing Revolving Credit Facility by one year. That portion previously had a maturity date of September 2030 and will now mature in October 2031, subject to the terms of the amendment.
Revolving credit facilities can provide companies with access to borrowing capacity for general corporate purposes and liquidity management, depending on the applicable agreement and availability conditions. Extending the maturity of a portion of this facility gives StubHub additional time before that portion reaches its scheduled maturity.
The extension complements the longer maturity profile of the amended term loans. While the Term Loan B facilities will now mature in October 2033, the affected portion of the revolving facility will mature in October 2031.
Together, these changes give the company greater visibility into its financing timeline and help align its debt arrangements with its longer-term financial planning. The amendment also provides an opportunity to address several components of the capital structure within a single transaction.
The company stated that the revolving facility extension remains subject to the terms of the amendment, indicating that the revised maturity applies in accordance with the conditions set out in the amended credit agreement.
Debt Repayments Demonstrate Continued Deleveraging Progress
The credit facility amendment follows substantial debt reduction by StubHub since its September 2025 initial public offering. The company reported that it repaid $1.1 billion of debt over the preceding 12 months, reflecting significant deleveraging during the period.
Deleveraging refers to reducing outstanding debt relative to a company’s financial resources, cash flow, or broader capital structure. Debt repayment can help lower future interest obligations and reduce the amount of liabilities that a company must manage over time.
StubHub’s reported repayment of $1.1 billion highlights the scale of its recent debt reduction efforts. The company’s latest financing transaction builds on that progress by extending the maturity of its remaining term loans, improving borrowing margins, and adjusting the mix of dollar- and euro-denominated debt.
Rather than relying solely on debt repayment to manage its capital structure, companies may also use refinancing and maturity extensions to improve the timing and cost of their obligations. StubHub’s latest amendment combines these approaches with changes to the currency composition of its financing facilities.
The company’s deleveraging efforts also coincide with an improvement in its credit rating. In September 2026, Moody’s Ratings upgraded StubHub’s Corporate Family Rating to B2 from B3. The upgrade represents a one-notch improvement in the company’s rating.
Credit ratings provide an external assessment of a company’s creditworthiness and its ability to meet financial obligations. While a rating upgrade does not eliminate financial risk or guarantee future financing outcomes, it can reflect an improved assessment of a company’s credit profile.
The rating action, together with the company’s reported debt repayments and amended credit facilities, provides additional context for StubHub’s recent capital structure developments.
Supporting Long-Term Capital Structure Management
As a global ticketing marketplace for live events, StubHub operates in a business environment in which financial flexibility can support operational continuity and longer-term planning. Managing debt maturities, borrowing costs, and currency exposures can be important elements of maintaining that flexibility.
The amended credit agreement extends the maturity of StubHub’s Term Loan B facilities to October 2033, lowers borrowing margins by 25 basis points, and revises the currency composition of its term loans. The additional one-year extension for a portion of the Revolving Credit Facility further adjusts the company’s financing timeline.
The transaction follows $1.1 billion in debt repayments over the preceding 12 months and a September 2026 upgrade of the company’s Corporate Family Rating by Moody’s Ratings. Together, these developments illustrate the company’s ongoing efforts to manage its debt obligations and strengthen its financial position.
JPMorgan Chase Bank, N.A. served as Lead Left Arranger and Administrative Agent for the transaction, supporting the execution of the amended credit agreement.
With the revised facilities in place, StubHub has extended the timeline for its term loan repayments, achieved improved borrowing margins, and adjusted its debt currency mix. The company’s latest financing move builds on its recent deleveraging progress and represents a further step in managing its capital structure for the years ahead.
